1. Acceptance of Terms
By accessing or using Lumisent OS (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the Service.
2. Description of Service
Lumisent OS is an AI-native operating system designed to assist visionary solopreneurs and creators in translating their vision into a structured business reality. The Service includes features such as strategic planning, AI-powered content generation, task management, and other related functionalities.
3. User Accounts
To access the Service, you must register for an account. Account registration and authentication are handled by our third-party provider, Clerk. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. User-Generated Content
You retain all ownership rights to the content you create, input, or upload to the Service, including your strategic plans, documents, tasks, and other data ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service for you. We will not share your User Content with other users or third parties except as described in our Privacy Policy.
5. Prohibited Activities
You agree not to use the Service for any unlawful purpose or to engage in any activity that would violate these Terms. Prohibited activities include, but are not limited to: uploading malicious code, infringing on the intellectual property rights of others, or using the Service to generate harmful or illegal content.
6. Subscription and Billing
The Service is offered under different subscription plans ("Seeker" and "Alchemist"). By subscribing to a paid plan, you agree to pay the fees specified for that plan. All payments are handled by our third-party payment processor, Stripe. Subscriptions will automatically renew unless you cancel them through the billing management portal. Fees are non-refundable except as required by law.
7. Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Helion Minds and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries.
8. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. You may terminate your account at any time by contacting us or through your account settings.
9. Limitation of Liability
In no event shall Lumisent, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms taking effect.
